| The Czech - Ukrainian Cooperation Meeting with the EBA information support 11 June 2009 Mr Frantishek Masopust, Executive Director, Board Member of the Chamber of Commerce and Industry from the Czech Republic, greeted guests and noted how important was to set new business relations for the rapid growth of the Ukrainian and the Czech economies. The participants conducted business negotiations with Czech companies from various industrial sectors: machine building, energy, food industry, and others. The Estonian - Ukrainian Cooperation Meeting with the EBA information support 17 June 2009  Mr Michael Isachenko, Deputy Head of Foreign Affairs and Foreign Economic Affairs of Dnipropetrovsk OSA, presented the regional economic potential and reported that in 2008 the Estonian Republic invested USD 11.7 bln in Dnipropetrovsk region.Second Secretary of the Economy of the Embassy of Estonia in Ukraine Mr Margus Solnson stressed that signing the Free Trade Agreement between Ukraine and the EU is important for economic development between Ukraine and Estonia. It would facilitate the process of certification and accreditation of goods between the two countries. Also the participants took part in a series of B2B meetings. Round Table: Corporate Management System Construction 18 June 2009  The meeting was held at the conference hall of Polyprom Company. Mrs Olga Kalyuk, Partner, Head of Management Consulting Practice of EBS Business Consulting Company, highlighted the underlying principles (holders’ rights protection) and corporate governance mechanism (administration process formalization, strict subordination to the board of directors and preventing conflict of interests).There are two models of corporate governance in the International practice: Anglo-American and German (continental), the latter chosen as a basis by Ukrainian companies. Unfortunately, in Ukraine the insider model of corporate governance has been formed. According to this model, majority shareholders and top management interests are implemented to the detriment of investors’ interests. Mrs Kalyuk noted the importance of corporate governance for company’s capitalisation and mobilisation of investment. Participants discussed the conditions for building correct corporate governance system, such as: willingness to change a company’s corporate culture, application of all corporate rules, realisation of collective and individual responsibility of executive and independent directors in decision-making and achieving results. |
As of 1 April 2009 economic turnover between the Czech Republic and Dnipropetrovsk region constituted USD 3 bln. Transport and communications are the priority sectors for investment. «Estonian companies are interested in cooperation with Ukrainian companies in IT sector, financial services and logistics», - said Mr Dennis Priymyagi, Director of Investment and Trade Enterprise Estonia. |

| Round Table – Recommendations on Shape and Content of Economic Agreements 11 June 2009  Bogdana Choban, lawyer from EBS Company, presented some basic rules of concluding agreements and the legislative acts, which regulate that.To prevent problems that may appear during signing of an agreement EBS recommends to follow the next rules. First of all, it is necessary to examine notarized copies of statute, which describe the authority of a person who signs the agreement. Secondly, a possibility of signing a facsimile copy of an agreement must be provided in this agreement. Thirdly, the provision about money equivalent in foreign currency does not determine the latter as a form of payment, it is as a measurement unit to define a price during obligation period. Anatoliy Gasyuk, Partner of EBS Company, a lawyer, drew attention of participants to specific aspects of legal form of purchase and sale agreements, agreements for provision of services, lease contracts, loan, etc. The Italian - Ukrainian Cooperation Meeting with the EBA information support 18 June 2009  The meeting was held at Donetsk CCI. Tito Alleva, President of the Association of Entrepreneurs of Paduva greeted participants and told that in crisis it is necessary to develop effective cooperation system between Ukraine and Italy. That is why active and high-tech companies which are interested in international cooperation came to Donetsk.Paduva Province is one of the main production centres of Italy. It’s export facilities allow to develop cooperation with many countries of the world. Mr Alleva hopes that brand “made in Italy” will interest Ukrainian entrepreneurs too. Oleksij Kulemzin, Head of the Department for External Relations and European Integration of Donetsk OSA marked that Donbas is open for collaboration, and local authorities are ready for a constructive dialogue. General Membership Meeting with the Mayor of Donetsk on Preparation for Euro 2012 19 June 2009 The meeting was held at Donbass Palace Hotel. Extraordinary and Plenipotentiary Ambassadors of Austria, Hungary, Denmark, Lithuania, the Netherlands, Romania, Slovenia, Turkey, Finland, France, Croatia, representatives of diplomatic missions of Belgium, Spain, Sweden and the European Commission took part in the meeting.The Mayor of Donetsk, Oleksandr Lukyanchenko, told about the course of preparation of Donetsk to EURO 2012. It is planed to finish construction of the runway of 4000 meters long by 2010. Reconstruction of the railway station will allow to increase the passenger traffic up to 30 thousands people per day. By 2012 the city plans to buy 57 trams, 96 trolleybuses and 100 busses of high capacity and rebuild 5 main highways. Opening of Donbas Arena stadium will be held on 29th of August 2009. Unfortunately Donetsk still has two ‘red cards’: the absence of airport complex and lack of places for accommodation. To solve the first problem UAH 100 mln has been already paid from the budget and the City Council considers three projects and continues searching for investors. As for the second problem, it is planned to to reconstruct 11 acting and build 17 new hotels. |
The next step in promotion of the Italian-Ukrainian cooperation will be the opening of a representative office in Donetsk. The opening of the Honorary Consulate of the Kingdom of the Netherlands in Donetsk took place on 18th of June 2009. Igor Golovan, member of the Board of the EBA Donetsk Branch, became the Honorary Consul. He said that such an achievement is the result of cooperation with the European Business Association. |

| EBA After Work Party 4 June 2009  The meeting was held in Dali restaurant in Kharkiv. Mr Igor Sbitnev, Chairman of EBA Kharkiv Branch Board, greeted participants and expressed his pleasure for the reason that EBA members meet not only on business occasions but also in unformal atmosphere. Attendees had an opportunity to enjoy diverse musical compositions performed by guests: member of Rachmaninoff’s International Society Ger van Caspel, art director of Kharkiv Rachmaninoff’s Festival Larysa Trubnikova and amateur Mykhaylo Gordiyenko.Relaxing in exquisite atmosphere of the restaurant decorated according to the outstanding artist’s surrealistic themes, guests tasted wine and meals, communicated in informal way and participated in lottery with a ticket for a romantic week-end for two at Aurora hotel as the main prize. Seminar – Legal Aspects of Business Protection 10 June 2009  The meeting was held at the conference hall of Aurora Hotel.The lawyer from Axioma Oleksandr Tatarkin noted that an owner/director has to choose two priorities from the triad - security, speed, cheapness – while developing company’s security system, because the system cannot meet the three criteria simultaneously. Mr Tatarkin also focused on commercial secret and its role in company’s security. Olena Kalinina, the company’s lawyer, highlighted raider attacks preventive measures such as: review of personnel loyalty, analysis of internal documents, estimation of efficiency of financial flaws, seek for the weakest chain in company’s operation, etc. Participants received packages with algorithm of personnel behavior during supervisory bodies’ visit, templates of complaints and letters related to breach of laws by state representatives, list of documents which could be requested by supervisory bodies. HR Round Table 18 June 2009  The meeting was held at Business Expert company. Participants discussed the relation between personnel motivation system and employees’ needs. Alla Poriatuy, Director of Business Expert, noted that the topic of motivation is very popular, and majority of managers consider themselves experienced persons in this regard, but in reality only a few are capable to develop effective motivation systems.Larysa Mogelska, Consultant of Business Expert Company, presented the results of survey conducted among heads of EBA companies. In general 52 % of respondents are satisfied with their company’s motivation system. Attendees also shared their experiences on personnel rotation as a tool to motivate employees. |
Olena Korzhuk, Deputy Head of the EBA Kharkiv Branch Tax Committee, stressed that state supervisory bodies became more active during financial crisis. Sometimes they use psychological pressure on entrepreneurs, so business personnel should know company`s rights and duties. According to the servey, 89 % of managers encourage their subordinates rather than punish, 55 % are sure they know each employee’s motives, 63 % think that ordinary employees work for money, 16 % - for recognition, 13 % - for an idea, 8 % - because of fear. |

| Seminar: Òåchnical regulation in Ukraine 11 June 2009 The seminar was organised by IFC in cooperation with the Ministry of Economy of Ukraine and the State Committee For Regulatory Policy and Entrepreneurship with information support of the EBA. EBA members had a possibility to obtain information about advantages of the reform of certification and standardisation system for the development of domestic business. Experts from EU countries, who have the experience of successful introduction of similar reforms in other countries, informed the participants about the reform and its stages, the influence of these changes on development and competitiveness of Ukrainian businesses, and on the market growth. The operating system of the technical regulation in Ukraine is outdated and ineffective, in particular due to the old and contradictory legislative base. The reform of this system has already begun and is directed at approximation with the European model of the technical regulation system. Participants discussed the nearest prospects of introduction of such reform in Ukraine. General Membership meeting with the Head of the Department of Recreation Complex and Tourism of Odesa City Council 18 June 2009 The meeting took place at the Odesa City Council. The meeting was devoted to the beginning of a tourist season and the investment climate of Odesa in tourist and resort sectors. Participants discussed the prospects and directions of tourism development and innovations in informational and publishing activity, directed on popularisation of city tourist product on the internal and international markets of tourist services. |
Victor Aksanyuk, Director of Department of Recreation Complex and Tourism of Odesa City Council, told about the new Programme of Development of Tourism in Odesa for 2008-2012 and the Concept of Development of Tourism in Odesa for 2007-2015, which determine the basic directions of tourism development in Odesa. |

| Round table with the Head of the Department for Foreign Economic Activity 28 May 2009  Mrs Arendarchuk, Deputy Head of the Department for Foreign Economic Activity told about the investment climate in the region. This year Zhytomyr region takes the 16th place among all regions of Ukraine in attraction of foreign investments. But still the region has investments from 43 countries of the world. They are: Cyprus, Switzerland, Great Britain, German and Italy.Speaking about the measures to attract foreign investments Mrs Arendarchuk underlined that last year a new project started. It is presentation of Zhytomyr region abroad. The companies have a perfect opportunity to present their potential to investors abroad. Last year such events were held in Warsaw and Italy. This year the investment potential of Zhytomyr oblast will be presented in Germany. The Deputy Director of Zhytomyr Branch of Reiffaizen Bank Aval Mr. Mosiychuk told about investment activity of the Bank. Situation is getting better, but still it is difficult to get a loan for the legal entity. Also the interest rate of the bank increased. |
